Terms and Conditions

1. Introduction

These Terms of Service (the "Agreement") govern the relationship between you ("Partner") and Laura Mühlbach, trading under the business name "glue", registered as a sole proprietorship in Germany ("glue"), in relation to your participation in the glue Partner Program and your use of the glue Partner Portal.

glue is a digital application that helps users build better habits through curated routines known as Habit Plans, including Pro Habit Plans created and submitted by independent content creators.

By joining the Partner Program, you may:

  • promote glue using a Promo Code and earn commissions on referred users; and/or
  • (as a Expert Partner) submit content (Pro Habit Plans) to be made available within the glue App and promote that content to your audience.

This Agreement sets out the terms, rights, responsibilities, and limitations that apply to all Partners.

2. Definitions

For the purposes of this Agreement:

glue App The mobile application "glue", operated by Laura Mühlbach, which enables users to build, track, and complete individual or curated habit routines ("Habit Plans"). The app is distributed via official app stores (iOS and Android), including future versions and platforms.

Partner An independent third party accepted into the glue Partner Program as either a Promo Partner or an Expert Partner. Partners are not employees or agents of glue and act in a self-employed or freelance capacity.

Promo Partner (Affiliate Partner) A Partner who participates in the Partner Program primarily by activating and promoting a Promo Code and/or referral links, without necessarily creating or submitting Pro Habit Plans.

Expert Partner A Partner who, in addition to possible use of a Promo Code, curates and submits original content in the form of Pro Habit Plans for use within the glue App.

glue Partner Portal The web-based platform provided by glue where Partners can register, manage their profile, access Promo Codes, (for Expert Partners) submit Pro Habit Plans, and view performance and commission information.

User An individual end user of the glue App.

Subscriber A glue App user who has completed a paid subscription (weekly, monthly, annual, lifetime or otherwise) and whose payment has been successfully processed after any applicable trial period.

Promo Code A unique identifier, link, or promotional code assigned to a Partner by glue which Users may apply during subscription or Habit Plan activation. Promo Codes are used to attribute conversions for commission purposes.

Pro Habit Plan A curated sequence of individual habits, designed by a Expert Partner and submitted via the glue Partner Portal. Pro Habit Plans may include text, descriptions, embedded media and are subject to review and approval by glue.

Partner Content All content submitted by a Expert Partner to the glue Partner Portal, including Pro Habit Plans, Pro Habits, Habit Theory & Practical Tips sections, videos, images, descriptions, and any other materials.

Net Revenue "Net Revenue" means revenue actually received by glue from a Subscriber in respect of their subscription, minus (i) platform and distribution fees (e.g. app store commission), (ii) payment processing fees, (iii) refunds and chargebacks, (iv) applicable sales or value added taxes, and (v) other directly attributable third-party costs incurred by glue in processing and fulfilling the relevant transaction, in each case only to the extent such items arise in direct connection with the relevant subscription.

3. Agreement to Terms

3.1 Acceptance of Terms

By clicking "I accept the Terms of Service" (or similar) during sign-up or by otherwise indicating acceptance electronically, you enter into a legally binding agreement with glue. Acceptance is effective at the moment of such affirmative action, regardless of whether you subsequently create content or actively promote glue. By accepting these Terms, you confirm that you are acting as an entrepreneur and not as a consumer.

3.2 Binding Effect

These Terms govern your entire participation in the Partner Program, including any use of the Partner Portal, submission of content, promotion, monetization, and termination.

3.3 Electronic Signature and Records

You agree that electronic acceptance of these Terms has the same legal effect as a handwritten signature. glue may store logs, IP addresses, and timestamps as proof of acceptance.

3.4 Version Control and Amendments

glue may update or modify these Terms at any time. Material changes will be notified via email or Partner Portal notification. Continued participation after the effective date of changes constitutes acceptance. If you do not agree, you may terminate under Section 11.

3.5 Right to Decline or Revoke Access

glue may approve or reject Partner applications at its sole discretion and may revoke access in accordance with Section 11.

4. Partner Eligibility & Registration

4.1 Minimum Age and Legal Capacity

You must be at least 18 years old, have full legal capacity under the laws of your country of residence, and participate in the Partner Program exclusively in the course of your trade, business or profession ("Unternehmer"). Participation as a consumer ("Verbraucher") is expressly excluded.

4.2 Registration

To join the Partner Program, you must create an account in the glue Partner Portal and provide accurate information (e.g. name, contact details, country of residence, and payment details).

  • Promo Partners may participate solely by accessing and promoting their Promo Code or referral links.
  • Expert Partners may additionally submit Partner Content (e.g. Pro Habit Plans) for review and publication within the glue App.

glue may request additional information and may approve or reject applications at its discretion.

4.3 Responsibility for Accuracy

You are responsible for keeping all account and payment information complete, current, and accurate. Misrepresentation can result in suspension or termination.

5. Scope of Collaboration & Partner Responsibilities

5.1 Independent Contractor Status

Partners participate as independent contractors. This Agreement does not create an employment, agency, joint venture, or partnership relationship. Partners have no authority to bind glue. For the avoidance of doubt, the Partner is not authorised to negotiate or conclude contracts in the name and/or on behalf of glue. The Partner's role is limited to marketing and referral activities. The statutory provisions on commercial agents (Handelsvertreter) do not apply to this Agreement to the extent legally permissible.

5.2 Responsibilities of Promo Partners

As a Promo Partner, your core participation may be limited to promoting glue using your Promo Code and/or links. You agree to:

  • Use your Promo Code and any marketing materials lawfully and in compliance with this Agreement;
  • Make only truthful, non-misleading statements about glue;
  • Comply with applicable advertising, disclosure, and platform rules (e.g. FTC influencer guidelines, social media terms).

There is no obligation for a Promo Partner to create or submit Pro Habit Plans.

5.3 Responsibilities of Expert Partners

If you choose to act as a Expert Partner and submit Partner Content, you additionally agree to:

  • Create and submit original Pro Habit Plans that meet glue's content and quality guidelines;
  • Maintain and update your content where reasonably necessary (e.g. broken links, outdated advice, inaccessible media);
  • Ensure that all Partner Content complies with the Content Guidelines in Section 8.

Promotion of Pro Habit Plans is strongly encouraged but not strictly mandatory. However, lack of promotion may impact performance and may lead to removal of underperforming content under Section 9.

5.4 glue's Role and Support

glue will:

  • Host approved Partner Content and make it accessible within the glue App;
  • Provide, at its discretion, marketing support such as in-app promotion or inclusion in user onboarding flows;
  • Provide access to a performance dashboard where available (especially for Expert Partners), showing attributed activations, conversions, and commissions.

glue does not guarantee any particular level of visibility, conversions, or income.

5.5 Mutual Non-Exclusivity

Unless explicitly agreed otherwise in writing, both parties remain free to collaborate with other partners, platforms, or advertisers, subject to the exclusivity provisions related to Partner Content in Section 7.

6. Commissions & Payment Terms

6.1 Commission Structure

(a) General Principle

All commissions payable under the Partner Program are calculated on Net Revenue as defined in Section 2. glue will not pay commissions on gross revenue.

A commission in respect of a particular subscription only becomes due and payable if and when the relevant transaction has not been cancelled, refunded or charged back within fourteen (14) days from the date on which the Subscriber payment was successfully processed (the "Validation Period").

If refunds or chargebacks occur after the Validation Period and after a commission has been paid, glue is entitled to reclaim such commission by offsetting the corresponding amounts against future commission payments or by issuing a debit note, to the extent permitted by law.

(b) Commission Offers and Rates glue has the right to determine the applicable commission structure, including commission rates for both Promo Partners and Expert Partners. The specific rates, tiers, and any additional incentives applicable to you will be set out in writing (e.g. via email or dashboard) ("Commission Offer"). Details regarding attribution logic (e.g. use of Promo Codes, attribution windows, and conversion definitions) may be set out in the Commission Offer and/or in separate Partner Program policies referenced therein, which form part of this Agreement. In case of conflict between a Commission Offer and these Terms, the Commission Offer prevails with respect to the applicable commission structure, unless expressly stated otherwise.

By participating in the Partner Program and promoting your Promo Code and/or Pro Habit Plans after receipt of a Commission Offer, you agree to the commission terms stated in that offer.

(c) Bonuses & Incentives From time to time, glue may offer discretionary bonus payments, top-ups, or other incentives (for example, time-limited campaigns, performance bonuses, or launch incentives). Such incentives will also be communicated in writing (e.g. via email) and will form part of your Commission Offer for the relevant period. They are not guaranteed and may be modified or withdrawn prospectively.

(d) Changes to Commission Offers glue may propose changes to your Commission Offer (including rate changes) by written notice (e.g. email). Changes will apply only to future transactions from the effective date stated in the notice. Your continued promotion or participation after that date constitutes acceptance. If you do not agree, you may cease participation and/or terminate under Section 11.

6.2 Eligibility and Fraud Prevention

Commissions are only payable for valid conversions and activations by real Users who are not generated via fraudulent, automated, or manipulative means. glue may withhold or reverse commissions where it reasonably suspects:

  • Fraud, artificial traffic, or misuse of Promo Codes;
  • Breach of these Terms or applicable law; or
  • Behaviour that creates legal, reputational, or financial risk for glue.

In case of termination for material breach, glue may cancel unpaid commissions obtained in violation of this Agreement.

6.3 Payment Schedule

Commissions that have become due and payable in accordance with Section 6.1 (including expiry of the Validation Period) and your Commission Offer will be calculated monthly. Only transactions for which the Validation Period has ended within the relevant calendar month will be included in that month's payout calculation.

Payments will be made within 30 days after the end of each calendar month, provided the minimum payout threshold (if any) is met.

6.4 Minimum Payout Threshold

glue may set a minimum payout threshold (e.g. EUR 50). If your payable commission balance is below the threshold, it will roll over to the next month until the threshold is reached. The applicable threshold will be communicated in your Commission Offer.

6.5 Invoice Generation

glue will generate an automated invoice on your behalf for each eligible payout, based on tracked commission data. You will receive a PDF copy of each invoice, including any applicable VAT if you have provided a valid VAT ID and are located in a jurisdiction where VAT is applicable. You agree to this invoicing method and are responsible for providing correct tax details.

You expressly agree that glue may issue self-billed invoices on your behalf for commissions payable under this Agreement ("Self-Billing"). Each self-billed invoice will be based on the commission data recorded by glue. You must review each invoice and promptly inform glue of any inaccuracies. If you reasonably dispute an invoice, glue will review the matter in good faith and correct the invoice where appropriate.

You may withdraw your consent to Self-Billing at any time with effect for the future by written notice (e.g. email). In such case, the parties will agree on an alternative invoicing process that complies with applicable tax law.

6.6 VAT, Taxes & Fees

You are solely responsible for all taxes on your income (e.g. VAT, income tax) under applicable local laws. Where applicable, VAT may be added to your invoice if you have provided a valid VAT ID and reside in the EU.

Payments will be made in Euros (€). Any transaction fees, currency conversion charges or bank fees incurred in transferring payments to you are borne by you.

7. Exclusivity & Intellectual Property

7.1 Ownership of Partner Content

As a Expert Partner, you retain full ownership of all original Partner Content submitted to the glue Partner Portal. Submission does not transfer intellectual property rights to glue, except for the license set out below.

You represent and warrant that you hold all necessary rights to the Partner Content (including video and audio content).

7.2 License to glue

You grant glue a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, promote, and make Partner Content available within the glue App and on glue-controlled promotional channels, for as long as the content is published and you participate in the Partner Program.

Upon written request, glue will use reasonable efforts to unpublish Partner Content from the app within 30 days, unless retention is legally or operationally required.

7.3 Exclusivity of Format & Platform

To protect the distinctiveness of the glue App, you agree that Partner Content submitted and approved for use within the glue App:

  • will not be published in identical or substantially similar form in other apps or digital programs that primarily serve the same purpose of habit-building or routine-based self-improvement; and
  • will not be offered in a directly substitutable course-like digital format elsewhere that would reasonably compete with the glue experience.

This does not restrict general posting of related content on your own platforms (e.g. social media posts or videos on similar topics).

7.4 Promotion by glue

glue may use your name, profile, Habit Plan titles, screenshots, and brief excerpts from Partner Content in promotional materials (e.g. app store listings, onboarding emails, social media) to promote your Habit Plans or the glue App.

7.5 Proprietary Rights of glue

To protect the distinctiveness of the glue App, you agree that Partner Content submitted and approved for use within the glue App will, for a period of twelve (12) months from its first publication in the glue App ("Exclusivity Period"):

a) not be published in identical or substantially similar form in another mobile or web application whose primary purpose is to offer habit-building routines or habit stacks; and

b) not be offered as a stand-alone digital course that substantially replicates the structure and content of the Pro Habit Plan in a way that would reasonably compete with the glue App.

This does not restrict general posting of related content on your own platforms (e.g. social media posts or videos on similar topics). glue may agree to exceptions to the Exclusivity Period in writing (e.g. via email).

8. Content Guidelines & Responsibility

8.1 Platform Role & Disclaimer

The glue App serves as a platform for distributing Partner Content. glue does not author or routinely verify the advice, recommendations, or methods contained in Pro Habit Plans. Partner Content is solely the responsibility of the relevant Expert Partner.

8.2 Partner Responsibility for Content

You are solely responsible for ensuring that all Partner Content and promotional materials:

  • are accurate, honest, and clearly distinguish between opinion and fact;
  • comply with all applicable laws (including copyright, privacy, consumer protection, advertising, and professional regulations);
  • do not provide unauthorized professional advice (e.g. medical, legal, financial). If you are a licensed professional, you must clearly disclose this and remain solely responsible for that advice.

8.3 Prohibited Content

The following content is strictly prohibited and may lead to immediate removal and/or termination:

  • Medical misinformation or dangerous health claims;
  • Hate speech, discriminatory content, or promotion of violence or harassment;
  • Sexually explicit material, graphic violence, or illegal activity;
  • Encouragement of self-harm, eating disorders, or unsafe practices.

8.4 Links & Media

You must ensure that external links and embedded media in Pro Habit Plans remain active, accessible, lawful, and appropriate. glue may unpublish or request changes where links are broken, misleading, or inappropriate.

8.5 Moderation Rights

glue may, but is not obliged to, review or moderate Partner Content. glue may reject, edit (for minor formatting and clarity), or remove content that violates these Terms or creates risk for glue or its users.

9. Content Review, Editing & Removal

9.1 Pre-Publication Review

All Pro Habit Plans are subject to review before publication. glue may request changes or reject content that does not meet editorial or technical standards.

9.2 Editorial Adjustments

glue may make minor editorial or formatting changes for consistency and user experience, without altering the substantive meaning of the content.

9.3 Removal of Underperforming or Outdated Content

To maintain quality and relevance, glue may unpublish or deactivate a Pro Habit Plan, for example where:

  • it receives very low activations or sustained poor ratings;
  • it shows no evidence of ongoing relevance or engagement;
  • it appears outdated or technically broken (e.g. broken links, missing media).

Where reasonably possible and where no urgent risk exists, glue will attempt to notify you and allow a short period for remediation or resubmission.

9.4 Immediate Removal

glue may immediately unpublish content that:

  • breaches the Content Guidelines in Section 8;
  • poses legal, safety, or reputational risk; or
  • materially violates this Agreement.

glue will provide a post-removal explanation upon request.

10. Promotion & Conduct Requirements

10.1 Optional but Encouraged Promotion

Both Standard and Expert Partners are encouraged (but not strictly obligated) to promote glue and, where applicable, their Pro Habit Plans via their channels (e.g. social media, newsletters, websites, podcasts).

10.2 Use of glue Branding

glue grants you a limited, non-exclusive, revocable license to use its name, logo, and approved marketing assets solely to promote glue and your involvement in the Partner Program. Use must conform to glue's brand guidelines and may be revoked at any time.

10.3 Prohibited Conduct

You agree not to:

  • Misrepresent glue or your relationship with glue;
  • Make false, misleading, or exaggerated claims about results, features, or earnings;
  • Engage in any campaign that disparages glue or intentionally harms its reputation;
  • Use spam, misleading links, or other abusive practices to drive traffic or conversions.

Such behaviour constitutes a material breach and may lead to immediate termination and forfeiture of unpaid commissions in line with Section 11.

10.4 Compliance with Third-Party Rules

You are solely responsible for complying with the terms and policies of any third-party platforms you use for promotion (e.g. disclosure rules on Instagram, YouTube, TikTok, etc.).

10.5 Promo Code duration and deactivation

glue does not guarantee that any specific Promo Code, referral link or promotional campaign will remain active for any minimum period. Without prejudice to glue's other rights under these Terms, glue may deactivate or replace a Promo Code (i) after at least twelve (12) months from the date on which it was first made available to you, or (ii) at any time in case of low or no performance of the relevant campaign, as reasonably determined by glue.

Deactivation or replacement of a Promo Code is only effective for future transactions and does not affect commissions that have already become due and payable in accordance with Section 6. Deactivation of a Promo Code may be accompanied by the unpublishing or deactivation of associated Pro Habit Plans in accordance with Section 9.

11. Termination & Suspension

11.1 Termination by Either Party

Either you or glue may terminate this Agreement at any time by providing written notice (e.g. via email) with at least 14 days' notice. In the event of your termination, glue will unpublish your Pro Habit Plans within a reasonable timeframe.

11.2 Immediate Suspension or Termination by glue

glue may suspend or terminate your participation with immediate effect if:

  • you materially breach these Terms (e.g. prohibited content, fraud, severe misrepresentation);
  • your conduct creates legal or reputational risk for glue; or
  • glue discontinues or materially changes the Partner Program.

Where feasible, glue may first issue a warning and allow remedy.

11.3 Consequences of Termination

Upon termination:

  • Your access to the Partner Portal will be revoked;
  • Pro Habit Plans will be deactivated or removed;
  • Any commissions properly earned prior to the effective date of termination remain payable according to Section 6, unless termination is due to your material breach, in which case glue may cancel commissions obtained through such breach.

glue may retain anonymized analytics and technical logs for legal and operational purposes.

11.4 No Additional Compensation

You are not entitled to compensation, damages, or restitution due to termination, beyond commissions properly due under this Agreement.

12. Liability & Indemnity

12.1 Platform Disclaimer

To the fullest extent permitted by law, glue does not accept responsibility for the accuracy or legality of Partner Content and does not guarantee any outcomes for Users.

12.2 Indemnity

You agree to indemnify and hold harmless glue (and its employees, contractors, and affiliates) from any third-party claims, damages, or expenses (including reasonable legal fees) arising from:

  • Partner Content;
  • your promotional activities;
  • your breach of this Agreement or applicable law.

12.3 Limitation of Liability

To the extent permitted by law, glue's aggregate liability to you under this Agreement is limited to the amount of commissions actually paid to you in the 12 months preceding the event giving rise to the claim. glue is not liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, reputation, or data.

Nothing in this Agreement excludes or limits glue's liability for (i) intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), (ii) injury to life, body or health, (iii) fraudulently concealed defects, or (iv) liability under mandatory product liability laws.

In cases of slight negligence (leichte Fahrlässigkeit), glue is only liable for breach of an essential contractual obligation (Kardinalpflicht), i.e. an obligation the fulfilment of which is a prerequisite for the proper performance of this Agreement and on the observance of which the Partner may regularly rely. In such cases, glue's liability is limited to the typical, foreseeable damage at the time of conclusion of this Agreement.

To the extent permitted by law and except as set out above, glue's aggregate liability to you under this Agreement is further limited to the amount of commissions actually paid to you in the twelve (12) months preceding the event giving rise to the claim. glue is not liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, reputation, or data.

12.4 Force Majeure

glue is not liable for failure or delay resulting from events beyond its reasonable control (e.g., natural disasters, government action, large-scale outages, app store disruptions).

13. Data Protection & Privacy

glue processes personal data in accordance with the EU GDPR and applicable German data protection laws. The details of glue's data practices are set out in its Privacy Policy. In summary:

  • glue processes your Partner data (e.g. contact and payment details) for contract performance and compliance;
  • you may receive aggregated, anonymized analytics related to performance;
  • you do not receive personal data of individual Users from glue;
  • you must comply with applicable data protection and cookie laws when using external tools or third-party platforms.

You may exercise data subject rights (e.g. access, rectification, deletion) by contacting glue at info@glue-app.com.

14. Confidentiality

You agree to treat as confidential and not disclose to any third party (without prior written consent from glue) any non-public information you receive about glue's business, technology, pricing, or users, except where disclosure is:

  • required by law or regulatory authority; or
  • made to your professional advisers under a duty of confidentiality.

glue will likewise treat your non-public business and payment information as confidential, subject to legal obligations and the operational use of such data (e.g. for accounting, tax, and payment processing).

15. Dispute Resolution & Governing Law

15.1 Applicable Law

This Agreement is governed by the laws of the Federal Republic of Germany, without regard to conflict of law rules.

15.2 Jurisdiction

The exclusive place of jurisdiction for disputes arising from this Agreement is the registered office (Sitz) of Laura Mühlbach, unless mandatory consumer-law provisions dictate otherwise.

15.3 Amicable Resolution

The parties will attempt to resolve disputes amicably before resorting to courts, including, if mutually agreed, non-binding mediation.

15.4 Language

This Agreement is drafted in English. If translated, the English version prevails in case of conflict.

16. Changes to Terms

glue may amend these Terms from time to time if there is a valid reason for the change, in particular due to changes in legal requirements, case law, technical or security-related developments, or substantial changes to the Partner Program, and if the change does not unreasonably disadvantage the Partner.

Material changes will be notified via email or Partner Portal notification and will state an effective date at notification. If you do not agree with the amended Terms, you may object in text form (e.g. email) before the effective date and/or terminate this Agreement under Section 11 with effect from the effective date of the changes. If you do not object and continue to participate in the Partner Program after the effective date, the amended Terms will be deemed accepted.
